Yunnan Water Investment Co., Limited, an investment holding company, designs, develops, constructs, operates, and maintains municipal water supply and wastewater treatment facilities in the People’s Republic of China and internationally. The company operates through five segments: Wastewater Treatment, Water Supply, Construction and Sales of Equipment, Solid Waste Treatment, and Others. It constructs and operates wastewater treatment projects, water supply projects, and solid waste treatment projects; segment undertakes build and transfer (BT) projects, and engineering-procurement-construction (EPC) projects; and produces, installs, and sells equipment for wastewater treatment, water supply, and solid waste treatment facilities. The company also undertakes operation and maintenance (O&M) projects for wastewater treatment, water supply, and solid waste treatment facilities owned by third parties; and offers technical and consultancy services. As at 31 December 2017, it had 87 concession wastewater treatment projects, including 5 build-own-operate (BOO), 66 build-operate-transfer (BOT), 2 transfer-own-operate (TOO), and 14 transfer-operate-transfer (TOT) projects with a total daily wastewater treatment capacity of approximately 2,439,000 tonnes; 48 concession water supply projects comprising 13 BOO projects, 24 BOT projects, and 11 TOT projects with total daily capacity of approximately 1,687,000 tonnes; 11 solid waste treatment projects with annual treatment capacity of approximately 1,747,000 tonnes; 11 BT projects and 10 EPC projects; and 32 O&M projects. The company was formerly known as Yunnan Water Industry Investment and Development Co., Ltd. and changed its name to Yunnan Water Investment Company Limited in July 2014. Yunnan Water Investment Company Limited was founded in 2009 and is headquartered in Kunming, the People’s Republic of China.

Yunnan Water Investment Co., Limited Announces Board Changes

Yunnan Water Investment Co., Limited announced that at its EGM held on December 12, 2018, Mr. Yu Long (Mr. Yu) has been appointed as an executive director of the second session of the board. The appointment of Mr. Yu shall take effect from the date of the EGM. The term of office of Mr. Yu shall be from the date of the EGM until the expiry of the term of office of the second session of the Board of the company. The Board further announces that upon the conclusion of the EGM, Mr. Dai Richeng had resigned as a non-executive Director. All Directors of the second session of the Board of the Company have unanimously elected Mr. Yu as the vice-chairman of the Board with effect from the date of the EGM in accordance with relevant provisions of the Articles of Association. Upon conclusion of the EGM, Mr. Yu has been appointed as a member and the chairman of the compliance committee. Due to the above-mentioned changes in the composition of the Board, the composition of each of the audit committee, the remuneration committee, the nomination committee and the compliance committee of the company is as follows: The audit committee comprise of Mr. Liu Shuen Kong as chairman, Mr. Hu Song and Mr. Ma Shihao as member of the company. The remuneration committee comprise of Mr. Hu Song as Chairman, Mr. Yang Fang and Mr. Ma Shihao as member of committee. The nomination committee comprise of Mr. Yang Tao as Chairman, Mr. Hu Song and Mr. Ma Shihao as members of committee. The compliance committee comprise of Mr. Yu Long as Chairman, Mr. Yang Fang, Mr. Liu Shuen Kong, Mr. Hu Song, Mr. Ma Shihao and Mr. Huang Yi (Supervisor) as members of the committee. The Board further announces that Mr. Yu, an executive Director of the second session of the Board, has been appointed as an authorized representative of the Company with effect from the date of the EGM under Rule 3.05 of the Listing Rules.

Yunnan Water Investment Co., Limited Enters into Joint Venture Agreements with Maoming Jianjiang River Basin Water Conservancy and Hydropower Construction and Installation Engineering Co., Ltd. and Guangzhou Environmental Protection Engineering Co., Ltd

The Board announced that on 21 November 2018, Yunnan Water Investment Co., Limited entered into Joint Venture Agreements with Maoming Jianjiang River Basin Water Conservancy and Hydropower Construction and Installation Engineering Co., Ltd. and Guangzhou Environmental Protection Engineering Co., Ltd. respectively, pursuant to which the parties to Joint Venture Agreements agreed to establish JV Company I and JV Company II in Xinyi City, Maoming City, Guangdong Province, the PRC. Pursuant to the terms of Joint Venture Agreement I, JV Company I will be established with a registered capital of RMB 168,750,000 and will be owned as to 99.4% by the Company, 0.5% by Maoming WCHC and 0.1% by GZEP. JV Company I will be responsible for the investment, financing, construction and operation maintenance businesses of PPP Project I. Pursuant to the terms of Joint Venture Agreement II, JV Company II will be established with a registered capital of RMB 192,890,000 and will be owned as to 99.4% by the Company, 0.5% by Maoming WCHC and 0.1% by GZEP. JV Company II will be responsible for the investment, financing, construction and operation maintenance businesses of PPP Project II.
