Altria Group, Inc., through its subsidiaries, manufactures and sells cigarettes, smokeless products, and wine in the United States and internationally. It offers cigarettes primarily under the Marlboro brand; cigars principally under the Black & Mild brand; and smokeless tobacco products under the Copenhagen, Skoal, Red Seal, Husky, and Marlboro Snus brand names. The company also produces and sells blended table wines under the Chateau Ste. Michelle, Columbia Crest, and 14 Hands names; and distributes Antinori and Villa Maria Estate wines, as well as Champagne Nicolas Feuillatte in the United States. In addition, it maintains a portfolio of leveraged and direct finance leases primarily in aircraft, rail and surface transport, electric power, real estate, and manufacturing industries. Altria Group, Inc. sells its tobacco products primarily to wholesalers, including distributors; large retail organizations, such as chain stores; and the armed services. The company markets its wine products to restaurants, wholesale clubs, supermarkets, wine shops, and mass merchandisers. Altria Group, Inc. was founded in 1919 and is headquartered in Richmond, Virginia.

The notes are guaranteed by PM USA. PM USA's guarantee was issued pursuant to the Indenture and is evidenced by a guarantee agreement made by PM USA in favor of the trustee for the notes. The notes will be the company's senior unsecured obligations and will rank equally in right of payment with all of the company's existing and future senior unsecured indebtedness. Altria Group Inc. Announces Unaudited Consolidated Earnings Results for the Third Quarter and Nine Months Ended September 30, 2014; Reaffirms Earnings Guidance for the Year 2014

Altria Group Inc. announced unaudited consolidated earnings results for the third quarter and nine months ended September 30, 2014. For the quarter, the company’s net revenues were $6,491 million against $6,553 million a year ago. Operating income was $1,999 million against $2,132 million a year ago. Earnings before income taxes were $2,114 million against $2,118 million a year ago. Net earnings attributable to the company were $1,397 million against $1,396 million a year ago. Basic and diluted earnings per share were $0.71 against $0.70 a year ago. Adjusted diluted EPS was $0.69 against $0.65 a year ago. Diluted EPS increased 1.4% to $0.71 driven by higher earnings from Altria's equity investment in SABMiller, lower interest and other debt expense, a lower tax rate and fewer shares outstanding. CapEx was $56 million. For the nine months, the company’s net revenues were $18,264 million from $18,386 million a year ago. Operating income was $5,708 million against $6,285 million a year ago. Earnings before income taxes were $5,865 million against $6,229 million a year ago. Net earnings attributable to the company were $3,834 million against $4,047 million a year ago. Basic and diluted earnings per share were $1.93 against $2.02 a year ago. Adjusted diluted EPS was $1.91 against $1.81 a year ago. The company reaffirms its guidance for 2014 full-year reported diluted EPS to be in a range of $2.54 to $2.59. Reported diluted EPS guidance reflects the impact of the special items. Altria also reaffirms its 2014 full-year adjusted diluted EPS guidance, which excludes special items, to be in a range of $2.54 to $2.59, representing a growth rate of 7% to 9% from an adjusted diluted EPS base of $2.38 in 2013. The company expects stronger adjusted diluted EPS growth in the fourth quarter as compared to the first three quarters in 2014, driven by several factors, including a significantly lower fourth-quarter effective tax rate on operations compared to the fourth quarter of 2013 resulting from Altria's 2013 debt tender offer, and lower fourth-quarter costs in the smokeable products segment due to the end of the federal tobacco quota buy-out payments. The company expects reported effective tax rate and effective tax rate on operations will be approximately 35%.
